TERMS AND CONDITIONS
1. Guided e-Learning (GEL) provides an online learning system and information portal (the Portal) to students learning English as a second language who are preparing for the International English Language Testing System (IELTS). These terms and conditions apply to third party intermediaries which have chosen to become, and who GEL has agreed to appoint as, a marketing affiliate of GEL (each a Marketing Affiliate) in order to provide students preparing for the IELTS with access to the Portal.
2. By clicking “I Accept” below, the Marketing Affiliate accepts these terms and conditions, which will be effective immediately.
Portal access and use
3. GEL will provide the Marketing Affiliate with a link to the Portal (Link) which can be shared with students at the Marketing Affiliate’s discretion.
4. Using the Link, students will be able to access certain content on the Portal for free, subject to GEL’s Terms and Conditions (as set out on the Portal). Students will be given the option to purchase additional “add on” content from GEL directly.
5. Neither GEL nor the Marketing Affiliate will be under any obligation to make any payment to the other under or in connection with these terms and conditions and/or the Marketing Affiliate programme, and will not be liable to the other for any claims brought by students, or any losses, damages, costs, expenses suffered by the other party and/or any student in relation to the Portal.
6. GEL will not provide the Marketing Affiliate with any information or data (including personal data) relating to the students who sign-up to the Portal using the Link.
IP licence
7. Subject to the Marketing Affiliate complying with any brand guidelines provided by GEL from time to time, and for the purpose of promoting itself as a GEL Affiliate, GEL hereby grants to the Marketing Affiliate a non-exclusive, revocable, worldwide, royalty free licence to use GEL’s name, logo, images, and any written copy or text relating to the Portal (GEL IP), each as provided by GEL to the Marketing Affiliate from time to time.
8. Notwithstanding clause 6, the Marketing Affiliate shall not misrepresent the extent and nature of its relationship with GEL to students and other third parties. In particular the Marketing Affiliate shall not state or imply that the Marketing Affiliate’s relationship with GEL is exclusive or that the Marketing Affiliate is part of GEL’s group.
Termination
9. GEL may terminate these terms and conditions with immediate effect by giving the Marketing Affiliate written notice (including by email). On termination, the Marketing Affiliate will cease all use of the Link and GEL IP, and the licence granted under clause 5 will immediately terminate.
General
10. Nothing in these terms and conditions is intended to, or shall be deemed to, establish any partnership or joint venture, create any fiduciary relationship between the parties, constitute either party the agent of the other party, nor authorise either party to make or enter into any commitments for or on behalf of the other party.
11. These terms and conditions will be governed by English Law and any disputes relating to or arising out of or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the English courts.
